By using the website at www.phoenixlifestyle.co.in or any application published under the Phoenix Lifestyle brand (including Naad and Loupe), you confirm that you are at least 13 years of age (or the minimum age required by your country's laws) and that you agree to these Terms of Service ("Terms"). If you do not agree to any part of these Terms, you must not use our services.

2. Description of Service

Phoenix Lifestyle provides free, ad-free software applications and a website. Our current products include:

• Naad — a hi-res offline music player available on iOS, Android, Windows, and macOS.
• Loupe — an instant photo viewer with RAW support, available on iOS, Android, Windows, and macOS.
• This website — information about our company and apps.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice where practicable.

3. Licence to use apps

Subject to your compliance with these Terms, Phoenix Lifestyle grants you a limited, non-exclusive, non-transferable, revocable licence to download and use our apps for your personal, non-commercial purposes.

You may not:

• Copy, modify, distribute, sell, or lease any part of our apps.
• Reverse-engineer or attempt to extract the source code of our apps.
• Use our apps for any unlawful purpose or in a way that violates any applicable laws.
• Use our apps to infringe the intellectual property rights of others (e.g. by playing DRM-protected content you do not have the right to play).

4. Intellectual property

The Phoenix Lifestyle name, flame logo, app icons, user interfaces, design elements, and all content on this website are owned by or licensed to Phoenix Lifestyle and protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce or use these without our express written permission.

Your music files, photos, and other personal data that you use within our apps remain your property. We do not claim any ownership over your content.

5. User-provided content

Our apps operate on media files you provide. You represent that you have the legal right to use the media files you access or play through our apps. Phoenix Lifestyle is not liable for your use of content that infringes third-party rights.

6. Disclaimer of warranties

To the fullest extent permitted by law, our apps and website are provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

We do not warrant that our apps will be free of bugs, errors, or interruptions, or that your use of them will be secure from data loss.

7. Limitation of liability

To the fullest extent permitted by applicable law, Phoenix Lifestyle shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, our apps or website. Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid for the app in the preceding twelve months (which, for free apps, is nil).

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for certain types of damages. In those jurisdictions, these limitations apply to the fullest extent permitted by law.

8. Third-party stores and platforms

When you download our apps from a third-party platform (e.g. the Apple App Store or Google Play), the relevant store's terms of service also apply to your use of the app. We are the developer/publisher and are responsible for the app content; the store operator is not a party to any agreement between you and us.

9. Links to third-party sites

Our website may contain links to third-party websites for your convenience. We do not endorse and are not responsible for the content or privacy practices of those sites. Visiting them is at your own risk.

10. Indemnification

You agree to indemnify and hold harmless Phoenix Lifestyle, its employees, contractors, and affiliates from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of our apps or website.

11. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts located in India, except where mandatory consumer-protection laws of your country of residence give you the right to bring proceedings in your local courts.

If you are an EU or UK consumer, you may also have rights under applicable EU or UK consumer protection regulations that cannot be waived by contract.
